Acceptance of Terms By accessing and using Shopac ("the App", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. ### 2. Description of Service Shopac is a comprehensive inventory and stock management application that provides businesses with tools for managing inventory, sales, purchases, point-of-sale operations, financial transactions, and related business activities. ### 3. User Accounts **Account Creation:** - You must provide accurate, current, and complete information during registration - You are responsible for maintaining the confidentiality of your account credentials - You are responsible for all activities that occur under your account - You must notify us immediately of any unauthorized use of your account **Account Requirements:** - Users of all ages may use this service, though it is designed for business use - You must have the legal authority to bind your business to these terms (if applicable) - Users under 13 require parental consent in compliance with applicable laws ### 4. Acceptable Use **You agree to:** - Use the App only for lawful business purposes - Comply with all applicable laws and regulations - Maintain accurate business records - Not use the App for any fraudulent or illegal activities - Not attempt to gain unauthorized access to the App or its systems - Not interfere with or disrupt the App's functionality - Not use the App to transmit harmful code or malware **Prohibited Activities:** - Violating any applicable laws or regulations - Infringing on intellectual property rights - Engaging in fraudulent financial transactions - Misrepresenting your business or identity - Harassing or abusing other users - Collecting user data without authorization ### 5. Financial Transactions and Payment Services **Transaction Recording:** - Shopac is a record-keeping tool that helps you track and manage business transactions - The app records payment information but does not process payments or handle financial transactions automatically - You are responsible for all actual financial transactions conducted outside the app - We are not responsible for disputes between you and your customers or suppliers - All recorded transaction information must be accurate and current **Wakala Services:** - If using Wakala (money agent) features, the app records your agent transactions - You are responsible for complying with local financial regulations and obtaining necessary licenses - The app does not process or handle actual money transfers - it only records transaction data - We are not liable for regulatory compliance issues - All actual financial services must be conducted in accordance with applicable laws through your authorized channels ### 6. Data and Content **Your Data:** - You retain ownership of all data you input into the App - You grant us a license to use, store, and process your data to provide the service - You are responsible for backing up your data - We are not responsible for data loss due to your actions **Content Standards:** - All content must be accurate and lawful - You must not upload malicious code or harmful content - We reserve the right to remove content that violates these terms ### 7. Intellectual Property **Our Rights:** - The App and all its features are protected by copyright and other intellectual property laws - You may not copy, modify, or distribute the App without our permission - All trademarks and logos belong to their respective owners **Your Rights:** - You retain ownership of your business data - You grant us a limited license to use your data to provide the service ### 8. Subscription and Payment Terms **Subscription Plans:** - Subscription fees are billed according to your selected plan - Fees are non-refundable except as required by law - We reserve the right to change pricing with 30 days notice - Automatic renewal applies unless cancelled **Payment:** - You must provide valid payment information - Failed payments may result in service suspension - You are responsible for all applicable taxes ### 9. Service Availability **Availability:** - We strive to maintain service availability but do not guarantee uninterrupted access - We may perform maintenance that temporarily affects service - We are not liable for service interruptions beyond our control **Modifications:** - We reserve the right to modify or discontinue features - We will provide reasonable notice of significant changes - Continued use after changes constitutes acceptance ### 10. Limitation of Liability **Disclaimer:** - The App is provided "as is" without warranties of any kind - We do not guarantee accuracy of calculations or reports - We are not liable for business decisions made based on App data - We are not responsible for third-party services or integrations **Limitation:** - Our liability is limited to the amount you paid in the 12 months preceding the claim - We are not liable for indirect, incidental, or consequential damages - Some jurisdictions do not allow limitation of liability, so this may not apply to you ### 11. Indemnification You agree to indemnify and hold harmless Shopac, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: - Your use of the App - Your violation of these Terms - Your violation of any rights of another party - Your business activities conducted through the App ### 12. Termination **By You:** - You may cancel your subscription at any time - Cancellation takes effect at the end of your billing period - You may request account deletion, subject to data retention policies **By Us:** - We may suspend or terminate accounts that violate these Terms - We may terminate accounts for non-payment - We may discontinue service with reasonable notice - Upon termination, your access to the App will cease **Data After Termination:** - You may export your data before termination - We may retain data as required by law or for business purposes - Deleted data may not be recoverable ### 13. Dispute Resolution **Governing Law:** - These Terms are governed by the laws of Tanzania - Any disputes will be resolved in the courts of Tanzania **Dispute Process:** - Contact us first to resolve disputes amicably - If unresolved, disputes will be resolved through binding arbitration or court proceedings, as applicable ### 14. Changes to Terms **Updates:** - We may update these Terms from time to time - Material changes will be notified via email or in-app notification - Continued use after changes constitutes acceptance - If you disagree, you must stop using the App ### 15.
